Affiliate Agreement

Section 1: Program Application

By applying to the Program, you agree to provide truthful and accurate information. Codex Reputation LLC (DBA ReviewBoost) reserves the right to approve or reject any application at its sole discretion. You also acknowledge and consent to being contacted by ReviewBoost regarding your application and participation in the Program.

Section 2: Program Rules

As an Affiliate, you agree to comply with the following rules ("Rules"). Violating these Rules may lead to the termination of your participation in the Program:

• No Ads: Affiliates are not permitted to run ads or promote ReviewBoost via paid ads on any platform (e.g., Google Ads, Facebook Ads, etc.).
• Compliance with Law: Affiliates must comply with all relevant advertising laws and regulations, including but not limited to the FTC's endorsement guidelines, as well as any applicable local laws or regulations.
• Prohibited Conduct: Affiliates may not engage in fraudulent or misleading conduct, including impersonating ReviewBoost, making exaggerated claims, or promoting ReviewBoost in a deceptive manner.

Section 3: Compensation

As an Affiliate, you will earn a commission ("Commission") for referring new customers who purchase ReviewBoost's services through your unique affiliate link ("Affiliate Link").

Commissions will be calculated based on the amount received by ReviewBoost for the referred customer. ReviewBoost reserves the right to adjust commission structures at any time and will notify Affiliates of any changes via email or through the Affiliate dashboard.

Section 4: Program Modifications and Cancellations

Codex Reputation LLC (DBA ReviewBoost) retains the right to make changes to the Affiliate Program, including the cancellation of the Program or changes to commission structures, at any time and for any reason. Affiliates will be notified of changes via email or through the Affiliate dashboard.

Section 5: Intellectual Property

ReviewBoost grants you a non-exclusive, non-transferable license to use ReviewBoost's trademarks, logos, and other intellectual property solely for the purpose of participating in the Program and promoting ReviewBoost. This license is revocable at any time by ReviewBoost.

Affiliates are prohibited from using ReviewBoost's intellectual property in a way that could confuse potential customers, mislead them about the relationship between you and ReviewBoost, or misrepresent the services offered.

Section 6: Affiliate Conduct

As an Affiliate, you agree to:

• Represent ReviewBoost truthfully: Any statements you make must be true and accurate to the best of your knowledge. You may not make false or misleading claims about the benefits or services of ReviewBoost.
• Do not offer unauthorized promotions: Affiliates cannot offer promotional discounts or incentives (such as free trials or coupons) unless explicitly authorized by ReviewBoost in writing.
• Maintain compliance: Affiliates must comply with all applicable laws, including data privacy laws such as GDPR, CAN-SPAM, and other marketing-related regulations.
• No sub-affiliates: You may not recruit other affiliates or sub-affiliates without prior written consent from ReviewBoost.

Section 7: Termination and Forfeiture

ReviewBoost reserves the right to terminate this Agreement at any time, for any reason, with or without notice. If this Agreement is terminated due to a breach of any terms outlined herein, all outstanding commissions will be forfeited.

Upon termination, Affiliates must immediately cease all marketing activities related to ReviewBoost, including removing any content or links associated with ReviewBoost from their website and social media platforms.

Section 8: Payment Terms

Commissions will be paid on the 15th of each month for commissions earned during the previous month. If the total commission due to you is less than $50 USD, ReviewBoost reserves the right to withhold payment until the balance reaches $50.

Section 9: Dispute Resolution

In the event of any dispute arising out of this Agreement, both parties agree to resolve it through mediation, and if necessary, binding arbitration. This Agreement will be governed by the laws of the State of Wyoming. For any disputes or concerns, please contact us first at:

Section 10: Confidentiality

You agree to keep any confidential information related to ReviewBoost — including but not limited to customer data, business strategies, or financial information — confidential and not disclose it to any third party without ReviewBoost's prior written consent. This obligation survives the termination of this Agreement.

Section 11: Limitation of Liability

ReviewBoost will not be held liable for any indirect, special, incidental, or consequential damages arising from participation in the Program. The maximum liability of Codex Reputation LLC (DBA ReviewBoost) to the Affiliate will be limited to the total commissions paid to the Affiliate in the 12 months preceding the date of the claim.

Section 12: Indemnification

Affiliate agrees to indemnify, defend, and hold harmless Codex Reputation LLC (DBA ReviewBoost) and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) that result from the Affiliate's participation in the Program, any breach of this Agreement, or any violation of applicable law.

Section 13: Entire Agreement

This Agreement constitutes the entire understanding between the parties with respect to the Program and supersedes any prior agreements or understandings related to the subject matter herein. If any provision of this Agreement is found to be unenforceable, the remaining provisions will continue in full force and effect.

Affiliates must clearly and conspicuously disclose their relationship with ReviewBoost whenever promoting its services, in accordance with FTC guidelines.
